These terms form a binding agreement between you and Callent. Please read them carefully before using our platform.

By accessing or using Callent, you agree to these Terms & Conditions and our Privacy Policy. If you are using Callent on behalf of an organization, you represent that you have authority to bind that organization.

01 Acceptance of terms

These Terms & Conditions ("Terms") govern your access to and use of Callent's website, applications, and AI voice-calling services (collectively, the "Service"). If you do not agree to these Terms, do not use the Service.

02 Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use Callent. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account.

03 The service

Callent provides AI voice agents that answer and handle phone calls, book appointments, qualify leads, and perform tasks you configure. The Service relies on telephony carriers and AI models; while we strive for high availability and accuracy, the Service is provided on an "as available" basis and may occasionally be interrupted or produce imperfect results.

04 Acceptable use

You agree not to use the Service to:

  • Violate any law, regulation, or third-party right.
  • Place unlawful robocalls, spam, fraudulent, deceptive, or harassing calls.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Transmit malware or attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.
  • Use the Service for emergency services or as a replacement for 911 / emergency calling.

05 Calling & recording compliance

You are solely responsible for ensuring your use of the Service complies with all applicable U.S. telemarketing and communications laws, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, state Do-Not-Call rules, and federal and state call-recording / two-party consent laws.

You are responsible for obtaining any required consent before placing calls or recording conversations, and for providing required disclosures to callers. Callent provides configurable tools (such as recording disclosures and opt-out handling) to help, but you remain responsible for lawful use.

06 Plans, billing & trials

  • Subscriptions are billed in advance on a recurring basis (monthly or annually) and renew automatically until cancelled.
  • Usage beyond your plan's included minutes may incur overage charges at the rates shown in your account.
  • Free trials, where offered, convert to a paid plan unless cancelled before the trial ends.
  • Cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
  • Taxes are your responsibility where applicable.

07 Intellectual property

Callent and its licensors own all rights in the Service, including software, models, and branding. We grant you a limited, non-exclusive, non-transferable license to use the Service per these Terms. You retain ownership of your content and data; you grant us a license to process it solely to provide and improve the Service.

08 Third-party services

The Service may integrate with third-party tools (calendars, CRMs, telephony carriers, payment processors). Your use of those services is governed by their terms, and we are not responsible for their acts or omissions.

09 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate or complete.

10 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLENT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO CALLENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11 Indemnification

You agree to indemnify and hold harmless Callent and its affiliates from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law (including TCPA or call-recording laws).

12 Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service unlawfully. Upon termination, your right to use the Service ends, and we may delete your data after a reasonable period consistent with our Privacy Policy.

13 Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be resolved through binding individual arbitration in the United States, and you and Callent waive the right to a jury trial and to participate in a class action, except where prohibited by law. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@callent.online.

14 Changes & contact

We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date and, where appropriate, communicated to you. Continued use after changes take effect constitutes acceptance.
